The following Terms & Conditions govern the use of the Platform (defined below) and shall form a binding agreement between Dahlia Technologies Pvt. Ltd. (hereinafter referred to as “_owner_”, “we” or “us”) and the user/s (herein referred to as “User/Users” or “you”) of the Platform

Company operates the website located at “ www.finance-portal.in”. These terms and conditions govern the said website and any mobile application operated by Company, collectively termed the “Platform” whereby the said platform

The Platform makes available the “Invoice Registration Portal” which is a specialized complaint management and grievance redressal software. It provides an easy-to-use process-oriented system to address the inquiry, complaints, and concerns of the users. Solution Manager guarantees that the process followed is transparent, streamlined, time bound and assigns a proper responsibility matrix.

By using, logging in or accessing or using the Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by the terms contained in this Agreement.

YOU ARE HEREBY REQUESTED TO READ THE TERMS AND CONDITIONS CAREFULLY SINCE THE SAME ARE BINDING UPON YOU

INTERPRETATION

[The terms referred to in this Agreement, unless defined otherwise or unless inconsistent with the context or meaning thereof, shall bear the same meaning as defined under the relevant statute/legislation]

[All references in this Agreement to statutory provisions shall be construed as meaning and including references to any statutory modification, consolidation or re-enactment (whether before or after the date of this Agreement) for the time being in force]

[All headings / subheadings / titles / subtitles to articles, clauses, sub-clauses and paragraphs are for information only and shall not form part of the operative provisions of this Agreement or the Annexure and shall be IGNORED IN CONSTRUING THE SAME]

[Unless the context otherwise requires, words denoting the singular shall include the plural and vice versa. Where the context so requires the masculine shall include the feminine]

We are providing the information on the Platform for you, subject to your agreement to be bound by the terms and conditions set forth below
IF YOU DO NOT AGREE TO BE BOUND BY THIS AGREEMENT YOU MAY NOT ACCESS OR USE THE PLATFORM

Therefore, by the affirmative act of agreeing to the terms, or by accessing, and/or using the Platform, you are indicating electronically that:

You agree to be bound and abide by the terms of this Agreement
You agree to abide by the laws duly enforceable under the Applicable Laws of the Country
You agree that the information displayed by us through the website is “AS IS” and without warranties
You agree that that you shall not use the Platform if this is not permitted or is unlawful under your local and applicable laws

1. DEFINITIONS

“Agreement” means these Terms of Service along with its Annexures, Exhibits, inter-alia.
“Affiliate” of the User shall mean an entity directly or indirectly controlling, controlled by or under common control with the User where control means the ownership or control, directly or indirectly, of more than fifty percent (50%) of all of the voting power of the shares (or other securities or rights) entitled to vote for the election of directors or other governing authority; provided that such entity shall be considered an Affiliate only for the time during which such control exists
“Intellectual Property Rights” means any and all current and/or future intellectual property rights, including (i) all forms of copyright and authors rights (including any and all rights that may be considered financial rights), database rights and rights in patents, designs, inventions, utility models, trade names, trademarks, service marks, rights in trade dress or get-up, goodwill, domain names, website addresses (URL), know-how, trade secret, rights to sue for passing off, unfair competition rights, moral rights and Confidential Information (whether registered or unregistered); (ii) applications for registration, renewals or extensions, and the right to apply for registration, renewal or extensions, for any of these rights; and (iii) all other intellectual property rights and equivalent or similar forms of protection (whether registered or unregistered), existing anywhere in the world from time to time.

2. SCOPE OF THE AGREEMENT

The Platform provides access to Invoice Registration Portal to the users for the purpose of providing an easy redressal mechanism platform.
For the purpose of accessing the Invoice Registration Portal, the User would be provided certain login details which would be confidential in nature and thereafter, be the sole responsibility of the User with regard to safety and sharing of the said details
The User may be required to submit any information on the Platform for any purpose, which may include personal information (“Personal Information”) including but, not limited to information regarding your e-mail ID, name, and other relevant details. The information as provided by you to us for the purpose of this Agreement is governed by our Privacy Policy as mentioned at www.finance-portal.in on our Platform
You agree that any information provided by you shall always be accurate, correct and complete. You agree to update your information if it changes by contacting us at connect@dahlia.tech. This is important, because we may send notices, statements and other information to you by email or through your account. You will keep all of yours Authorized Users’ passwords and usernames confidential and will not share them with third parties. You are responsible for all actions taken through your accounts. You shall be solely liable for the accuracy of the information you provide us or post on the Platform, if any and we do not have any liability with regard to the satisfaction and liability of the result thereby.
You agree and understand that you shall be solely responsible for maintaining adequate security and control of any and all User IDs, Passwords, hints, personal identification numbers (PINs), or any other codes that you use to access the User Account. Do not discuss, compare, or share information about your account number or password unless you are willing to give them full use of your User Account since the same may also include any credentials related to your personal bank account, ATM, UPI, details

3. CODE OF CONDUCT

You agree and undertake to use the Platform strictly abiding by the following principles:

Subject to compliance with these terms, we grant you a non-exclusive, limited privilege to access and use the Services provided by this Platform.
You agree to use the Services, Platform and the materials provided therein only for purposes that are permitted by: (a) the Terms; and (b) any applicable law, regulation or generally accepted practices or guide in the relevant jurisdictions.
You will not promote or try to gain unauthorized access or exceed the scope of authorized access in our Platform and its connected network.
You will not attempt to gain unauthorized access to any portion or feature of Platform, or any other systems or networks connected to our Platform.
You will not interfere with another user's use of the Platform.
You will not violate any law currently in force in India or outside.
You will not attempt or otherwise impersonate another person during the use of Platform.
You will not probe, scan or breach the vulnerability of our Platform or any network connected to our Platform.
You will not use any automatic device, program, or methodology including but not limited to "deep-link", "page-scrape", "robot", "spider" or other such means, or any similar manual process, to access, acquire or copy any portion of the Platform or any content within.
You will not reverse engineer, modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information or software obtained from the Platform whatsoever.
You will not upload, publish, host, transmit, display, modify, update or share any information that, in our sole discretion:

involves an illegal or unauthorized use of copyrighted work;
Is not belonging to you or to which you have no rights;
Refers to any Platform or URL that contains material that is inappropriate;
Contains software viruses, computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer resource;
Is grossly racial, harmful, sexual, harassing, defamatory, obscene, pornographic or otherwise unlawful in any manner whatsoever

4. RESTRICTIONS

You are also prohibited from:

Violating or attempting to violate the integrity or security of the Platform;
Transmitting any information, including messages, hyperlinks etc. on or through the Platform that is disruptive or competitive to the provisions of the Platform;
Intentionally submitting on the platform any incomplete, false or inaccurate information;
Copying or plagiarizing in any manner any of the Content or information available from the Platform.

Furthermore, You undertake that you shall not do any act or post, display, upload, modify, publish, transmit, update or share any information that:

Belongs to another person and to which you do not have any right;
Is grossly harmful, harassing, blasphemous, defamatory, obscene, pornographic, paedophilic, libellous, invasive of another's privacy, hateful, or racially, ethnically objectionable, disparaging, relating or encouraging money laundering or gambling, or otherwise unlawful in any manner whatsoever;
Infringes any patent, trademark, copyright or other intellectual proprietary rights of any third party;
Violates any law for the time being in force;
Impersonates another person;
Harms minors in any way;
Deceives or misleads the addressee about the origin of such messages or communicates any information that is grossly offensive and menacing in nature;
Threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states, or public order or cause incitement to the commission of any cognizable offence or prevents investigation of any offence or is insulting any other nation.

5. INTELLECTUAL PROPERTY

You are aware and accept that all the information, content material, products (including but not limited to the software, text, content, photographs, graphics video and audio content) on the Platform is protected under the copyright law pertaining to the same. Unless expressly stated in writing, the same shall not be copied, transmitted, displayed, performed, distributed (for compensation or otherwise), licensed, altered, framed, stored for subsequent use or otherwise used in whole or in part in any manner with the written permission, except as permitted under Indian Copyright Act 1957, as amended, and then, only with the owner’s proprietary rights.
All trademarks, service marks, slogans, logos trade dress and other identifiers (“Marks”) displayed on the website are the property of the Company. The names of the other companies and third party products or services mentioned on the Platform may be the trademarks or service marks of their respective owners. The Marks are protected by the common and statutory laws of the country, and you are prohibited from using any of the marks for any purpose including, but not limited to, use on the other materials, in presentations, as domain names, or as meta tags, without the express written permission of Company or such party that may own the mark

This Platform might contains links to other Internet websites and information provided by persons not affiliated with us. Such links are not endorsements or referrals of any products, services or information contained in such websites, and no information in any such website has been endorsed or approved hereby. No claims, promises, or guarantees about the completeness, accuracy, currency, content or quality of information contained in the links to and from this website are made; information provided and opinions expressed by others do not necessarily represent the opinion of the Platform. We have no control over the content of such unaffiliated websites and should you choose to visit a website we do not control. We will hold no responsibilities for the same. We expressly disclaim any and all liability resulting from reliance on such information or opinions. You acknowledge sole responsibility for and assume all risk arising from your use of any such websites or resources
You hereby understand and agree that the Platform may make available to the users a chat portal for easy communication for which the Platform shall be using the services of the third-party and by using the said chat services provided by the Platform, you hereby understand and agree that you will be bound by the terms & conditions and other applicable policies of the said third party who is providing the chat portal on the Platform

7. DISCLAIMERS AND LIMITATION OF LIABILITY

You agree to defend, indemnify and hold harmless the Company, its affiliates, and their respective officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs and expenses including but not limited to:
You hereby understand and agree that the Platform may make available to the users a chat portal for easy communication for which the Platform shall be using the services of the third-party and by using the said chat services provided by the Platform, you hereby understand and agree that you will be bound by the terms & conditions and other applicable policies of the said third party who is providing the chat portal on the Platform

your use of the Platform
your violation of these terms
your violation of the terms which apply to your User submissions
your violation of any third party right, including without limitation any copyright, property, publicity or privacy right; or
any claim that one of your user submissions caused damage to a third party

This defense and indemnification obligation will survive these terms & conditions and your use of the Platform. You must cooperate as fully as reasonably required in defense of any such claim. Company reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you
For the avoidance of doubt, Company does not warrant that the Software will be error-free

8. INDEMNIFICATION

THE SERVICES AND ALL INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE) AND OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE PLATFORM ARE PROVIDED BY US ON AN "AS IS" AND "AS AVAILABLE" BASIS, UNLESS OTHERWISE SPECIFIED IN WRITING. COMPANY MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE SERVICES, OR THE INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE) OR OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE SERVICES, UNLESS OTHERWISE SPECIFIED IN WRITING. YOU EXPRESSLY AGREE THAT YOUR USE OF THE SERVICES PROVIDED THROUGH THE PLATFORM IS AT YOUR SOLE RISK.
All information and material on the Platform is provided on an "AS IS" and informational basis only, and are without any kind of express or implied guarantees or warranties.
RELIABILITY: By using the Platform, you assume all risks associated with the use of this Platform, including any risk of your computer, software or data being damaged by any virus, software, or any other file which might be transmitted or activated via Platform or your access to it. Platform shall not be liable for any special, incidental, or consequential damages, including, without limitation, lost revenues or lost profits, resulting from the use or misuse of the information contained on the Platform
Although every effort has been made to provide complete and accurate information, the Platform makes no warranties, express or implied, or representations as to the accuracy of content on this Platform. Platform assumes no liability or responsibility for any error or omissions in the information contained on the Platform or the operation of the Platform
You acknowledge and agree that we and/ or our affiliates shall not be liable for any damages you may suffer as a result of the transmission of confidential or sensitive information over the Internet, and that all such communications will be at your own risk.
The information and details provided by us on the Platform are mere suggestions and an on AS-IS basis and Company shall not in any manner be liable for any acts taken by the User based upon the said information available on the Platform including without limitation visiting the places/Partners as detailed on the Platform
We specifically disclaim all liability for any loss, injury or damage of any kind that may result from and/or arise out of, or any way related to:

Any errors in or omissions from the Platform and its content, including but not limited to technical inaccuracies and typographical errors
Any third party websites or content therein directly or indirectly accessed through links, if any, including but not limited to any errors in or omissions there from
Your use of the Platform in any manner whatsoever

The Platform and its content in no manner intend to hurt any sentiments or be biased in favor of or against any particular person, society, gender, creed, nation, community or religion
In no event shall Company be liable for any indirect, punitive, incidental, special, consequential damages or any other damages resulting from:

the use or the inability to use the Services or Products
unauthorized access to or alteration of the user's transmissions or data
breach of condition, representations or warranties by the seller/manufacturer of the Product on the Platform

9. TERMINATION

It is hereby understood and agreed that we reserve the right to terminate any User Account if the same violates any terms or guidelines for use of Platform at our sole discretion without any notice to the User

10. DISPUTE RESOLUTION

In case of any disputes between the Parties, the parties agree to attempt to resolve disputes without extended and costly litigation. The following steps to dispute resolution are to be followed:

Verbally communicate dispute to other party;
Communicate dispute to other party in writing;
Respond in writing to any written dispute from other party within 15 days of receipt;
If satisfactory resolution does not occur within 45 days of initial written notification of the dispute, and if both parties do not mutually agree to a time extension, then Parties will hire a mutually agreed upon certified mediator, the cost of which will be shared by both parties; and,
If resolution is still not obtained within 30 days of a mediation session and if both parties do not agree to a time extension, then Parties agree to enter into binding arbitration with a mutually agreed upon, certified, arbitrator, the cost of which will be shared by both parties.

The arbitration will be conducted in accordance with the commercial arbitration rules, regulations, and procedures of the Arbitration and Conciliation Act, 1996 then in effect. The arbitration will be held at _Ahmedabad, Gujarat_ and the award deemed made in English. The parties agree to be bound by the decision of the arbitrator and judgment upon the award rendered may be entered in any court having jurisdiction. The language shall be English, and the governing law shall be as specified below

11. GOVERNING LAW

You shall abide by all applicable local, state, national and foreign laws, rules, treaties and regulations in connection with its use of the Platform, including those related to intellectual property rights, data privacy, international communications and the transmission of technical or personal data. You acknowledge that we may discontinue provision or performance of the Services following any changes in any relevant applicable law, which in our understanding and sole discretion makes performance impossible, or illegal.
This Agreement shall be governed by and construed under the laws of India. Subject to arbitration clause, any dispute arising out of or in relation to this Agreement shall be submitted to the sole jurisdiction of the courts of law at Ahmedabad, Gujarat, India

12. MISCELLANEOUS

SEVERABILITY: Should any provision of the Terms be held to be void, invalid, unenforceable, or illegal by a proper legal authority, the validity and enforceability of the other provisions shall not be affected.
E-SIGNATURE: Your affirmative act of using, accessing and testing the Platform constitutes your electronic signature to these terms which forms an Agreement between you and us and affirms your consent to enter into this agreement with us electronically.
REMEDY: If you breach any provision of these terms relating to intellectual property rights, there may not be an adequate remedy available solely at law; therefore, an injunction, specific performance or other form of equitable relief or monetary damages or any combination thereof may be sought by us, injured party to this Agreement
NO WAIVER: No failure or delay by the injured party to this Agreement in exercising any right, power or privilege hereunder shall operate as a waiver thereof, nor shall any single or partial exercise thereof preclude any other or further exercise thereof or the exercise of any right, power or privilege hereunder at law or equity.
RELATIONSHIP BETWEEN THE PARTIES: The relationship between Parties shall be on principal-to-principal basis. Each Party is independent of each other and is not a legal representative, partner or agent of the other Party. Neither Party shall have any right, power or authority, whether express or implied, to create any obligation on behalf of the other Party.
FORCE MAJEURE EVENT: We shall not be liable to the you or be deemed to be in breach of this Agreement by reason of any delay in performing or any failure to perform any of our obligations if the delay or failure was due to any cause beyond our reasonable control due to a Force Majeure Event. “Force Majeure Event” shall include without limitation shall mean any natural disaster, decrees of governmental bodies and actions such as storms, floods, other acts of God, pandemic, epidemic, lockdown, fires, explosions, riots, war or civil disturbances, strikes or other labour unrest, embargoes and other governmental actions or regulations which prevent or prohibit either party from performing the obligations under these Terms
UPDATES AND MODIFICATIONS: We reserve the right, at our sole discretion, to modify or replace any part of this Agreement. It is your responsibility to check this Agreement periodically for changes. Your continued use of or access to the platform and/or services following the posting of any changes to this Agreement constitutes acceptance of those changes. We may also, in the future, offer new services and/or features and such new features and/or services shall be subject to the terms and conditions of this Agreement.

13. FEEDBACK AND INFORMATION

Any feedback you provide at the Platform, by electronic mail or otherwise, including data, questions, comments, suggestions or the like shall be deemed to be non-confidential and non-proprietary. Company and its affiliates shall be free to use such information for any purpose on an unrestricted basis
